Commercial Software Licence
1. Proprietary software
Agent Ops Suite is proprietary commercial software owned by Marc Gough trading as [ so.design ]. Third-party notices do not make Agent Ops Suite open source, and open-source components remain governed by their own licences.
2. Licence grant
Subject to payment and compliance with this Licence, the licensor grants you a non-exclusive, non-transferable licence to install and use Agent Ops Suite for personal or internal business operations. The licence is for the installed software and documentation supplied to you.
A lifetime licence means your licensed installed version may continue to be used, subject to this Licence. It does not guarantee perpetual support, perpetual compatibility with future operating systems, perpetual third-party connector access, or perpetual access to future product versions.
3. Permitted use
- You may use Agent Ops Suite to manage your own projects, brands, products, clients or internal initiatives.
- You may create local records, import authorised data, connect supported agents and export your own business data.
- You may install updates that you are entitled to receive under the included first-year fixes or an active Updates Pass.
4. Restrictions
You may not resell, sublicense, redistribute, white-label, rent, lease, lend, host as a service, provide managed access to third parties, remove notices, share licence keys, bypass licence controls, or reverse engineer proprietary portions except where applicable law expressly prevents that restriction.
5. Enterprise and managed use
Enterprise deployment, managed services, agency use on behalf of unrelated third-party customers, resale, bundling, white-labelling, public hosted use, shared-service use or embedded distribution requires a separate written agreement.
6. Updates, fixes and Updates Pass
The one-time licence includes one year of bug and security fixes for the launch product. The optional Updates Pass may provide new features, connector improvements, compatibility updates, import templates, onboarding resources and community membership while active.
If you cancel or do not renew optional updates, your installed version keeps working under this Licence, but you may lose access to future updates, new connector work, refreshed resources, support channels and community benefits.
7. Support and refunds
Setup support and refund policies are described on the pricing and support materials applicable at purchase. Refunds may require reasonable cooperation with troubleshooting. Third-party charges, connected-service fees, AI-provider usage and unrelated costs are not covered by the Agent Ops Suite licence purchase.
8. Ownership of your data
You retain ownership of your business data, customer records, imported records, projects, content, approvals and exports. You are responsible for backing up that data, securing it and ensuring you have rights to use it with agents and connected services.
9. Third-party components
Permissively licensed third-party components remain governed by their own licences and notices. See Third-Party Licences. Third-party components are provided by their respective authors without warranties unless stated in their licences.
10. Third-party services and connectors
Third-party AI providers, agents, email services, CRMs, issue trackers, helpdesks, repository hosts, payment services, hosting providers and other connected services are not part of the Agent Ops Suite proprietary software licence. They remain subject to their own terms, pricing, uptime, rate limits, permissions and policies.
11. Licence validation
Licence keys, receipts or entitlement checks may be used to provide downloads, updates, support and fraud prevention. These checks should not require uploading your local operational database.
12. Termination
This Licence may terminate if you materially breach it and do not cure the breach where cure is reasonably available. Upon termination, you must stop using the software and delete copies under your control, except where retention is required by law or limited backup retention is permitted by applicable law.
13. No warranty
To the maximum extent permitted by law, Agent Ops Suite is provided "as is" without warranty of uninterrupted operation, error-free operation, third-party compatibility, fitness for a particular purpose, or accuracy of AI-assisted output. Non-excludable consumer guarantees remain unaffected where they apply.
14. Governing law
This Licence is governed by the laws of Victoria, Australia. The parties submit to the courts of Victoria, Australia.
