Terms and Conditions

These Terms govern your access to the Agent Ops Suite website and your installation and use of the Agent Ops Suite software. If you do not agree to these Terms, do not use the website or software.

These Terms sit alongside the Commercial Software Licence, Privacy Policy and Third-Party Licences. If documents overlap, the Commercial Software Licence governs software ownership, licence grant, distribution and restrictions.

1. Product summary

Agent Ops Suite is local-first business operations software for AI-assisted teams. It provides structured project, relationship, issue, content, campaign, customer-service, approval, audit, handover and connector records for compatible AI agents and human operators.

The product is not a cloud CRM, hosted helpdesk, regulated advice service, payment processor or email service. It is a local operational backend and coordination layer that may connect to third-party systems when configured by you.

2. Eligibility and authority

You must have authority to install the software, accept these Terms, connect any third-party services, process any data you add and use any AI or automation tools you configure. If you use the software for an organisation, you represent that you have authority to bind that organisation.

3. Local-first operation

The software is designed to run on your computer and store operational data locally by default. Local records may include projects, contacts, organisations, relationship notes, tickets, messages, campaigns, content, approvals, logs and handovers.

Connected services, cloud AI providers, GitHub, email, calendars, CRMs, support desks, web search, hosting, storage and other integrations may make outbound requests when configured by the user or administrator. You are responsible for deciding which connections are appropriate.

4. Your responsibilities

  • Review AI outputs before relying on them.
  • Approve external-impact actions unless you have defined a clear low-risk automation policy.
  • Keep backups of important data.
  • Secure your computer, operating-system account, API keys, tokens, passwords and connected-service accounts.
  • Comply with laws, workplace policies, customer obligations and the terms of any external services you connect.
  • Check that imported customer, employee, lead, prospect, support and campaign data may lawfully be used for your intended purpose.

5. External communications and approvals

Agent Ops Suite is designed around approval-gated operations. Outbound marketing, customer promises, refunds, complaints, public claims, legal matters, financial matters, privacy matters, sensitive personal data, employment matters, medical matters, safety-critical matters and reputation-risk actions should not be fully automated without explicit policy and approval.

If you choose to enable bounded auto-action, you are responsible for the policy, scope, logs, rollback process and human escalation path. Agent Ops Suite does not guarantee that an AI agent will detect every risk.

6. AI outputs and professional advice

AI-generated content can be inaccurate, incomplete, outdated, biased or unsuitable. Agent Ops Suite is not a substitute for professional advice and must not be used as the sole basis for legal, medical, financial, investment, employment, privacy, safety-critical or regulated decisions.

7. Imports, connectors and data quality

Imported records and connector data may contain errors, duplicates, stale fields, missing permissions or incompatible formats. You are responsible for reviewing mappings, checking imported data, preserving source-system backups and confirming that agents receive accurate context.

8. Payments, licences and updates

Pricing, checkout, licence validation and update-channel services may be provided through selected commerce and licensing providers such as Stripe and related fulfilment tools. Those providers process payment information under their own terms and privacy policies.

The one-time licence includes the installed product and one year of bug and security fixes. Optional update subscriptions may provide new features, connector improvements, compatibility work, onboarding resources and community access while active. Your installed version keeps working subject to the Commercial Software Licence.

9. Refund and setup support

Agent Ops Suite may offer a 30-day setup support and fair refund policy for supported systems. Refund eligibility may depend on reasonable cooperation with setup, diagnostic and compatibility checks. Refunds do not cover third-party provider costs, connected-service fees or costs outside the Agent Ops Suite purchase.

10. Prohibited use

You must not use Agent Ops Suite to break the law, infringe rights, send unlawful spam, bypass consent requirements, scrape or process data unlawfully, impersonate others, deceive customers, interfere with systems, distribute malware, expose secrets, or automate high-consequence external actions without appropriate authority and safeguards.

11. Intellectual property

Agent Ops Suite, its proprietary code, design, documentation, brand assets and commercial packaging are owned by Marc Gough trading as [ so.design ] or its licensors. You retain ownership of your business data and content, subject to the rights and responsibilities needed to use connected services and AI providers you configure.

12. Third-party services

Third-party agents, AI providers, APIs, payment processors, hosting providers, email platforms, CRMs, helpdesks, repository hosts and other connected services remain governed by their own terms, privacy policies, pricing, availability and support. Agent Ops Suite does not control those services.

13. Availability and changes

Features, data formats, import templates, platform support, pricing, update mechanisms and integrations may change. Keep backups before installing updates or changing connector configuration.

14. Warranty and liability

To the maximum extent permitted by law, the website and software are provided "as is" and "as available" without warranty of any kind. Nothing in these Terms excludes guarantees, rights or remedies that cannot be excluded under applicable law, including the Australian Consumer Law where it applies.

To the maximum extent permitted by law, we are not liable for indirect loss, lost profit, lost revenue, lost opportunity, reputational harm, data loss, service interruption, third-party service failure, AI output errors, or consequences of user-approved external actions.

15. Termination

We may suspend access to updates, licensing services, support or community resources if you breach these Terms or the Commercial Software Licence. Termination does not affect obligations intended to survive, including payment obligations, intellectual-property restrictions, liability limits and third-party licence obligations.

16. Governing law

These Terms are governed by the laws of Victoria, Australia. The parties submit to the courts of Victoria, Australia.
